CHICKENBUDGET TERMS OF USE

PLEASE READ THESE TERMS CAREFULLY. BY ACCESSING OR USING THE CHICKENBUDGET™ SOFTWARE‑AS‑A‑SERVICE PLATFORM (THE “SERVICE”), YOU (“YOU,” “YOUR,” OR “USER”) AGREE TO BE LEGALLY BOUND BY THESE TERMS OF USE (THE “TERMS”). IF YOU DO NOT ACCEPT ALL OF THE TERMS, YOU MUST NOT ACCESS OR USE THE SERVICE.

Section 1 — Overview

Chickenbudget Pty Ltd (ABN 00 000 000 000), an Australian proprietary‑limited company headquartered at 91 FarmTech Crescent, Perth, Western Australia 6000 (“Chickenbudget,” “Company,” “we,” “us,” or “our”), develops and operates an integrated poultry‑farm management platform designed to help broiler and layer producers plan, monitor, and optimise their livelihoods.

The Service combines:

  • a cloud‑hosted dashboard that aggregates operational metrics (bird numbers, mortality, feed consumption, vaccination status, water usage, environmental sensor data, and financial outflows);
  • a mobile application that enables on‑site staff to record batch events in real time;
  • open APIs for transmitting data to and from third‑party accounting, payroll, and IoT devices; and
  • machine‑learning models that generate predictive insights, including mortality risk scoring, feed‑conversion forecasting, cash‑flow projections, and capacity‑planning scenarios.

Chickenbudget makes the Service available in two commercial configurations:

  • Free Tier — offered at no monetary cost but with functional constraints intended to meet the needs of small or test‑scale farms; and
  • Premium Tier — available on a monthly or annual Subscription Plan, unlocking advanced modules such as multi‑site consolidation, automated regulatory reports, deep‑link payroll exports, granular access controls, and priority technical support encapsulated in a Service‑Level Agreement (“SLA”).

By consolidating biological, financial, and logistical data into a single source of truth, the Platform is intended to support responsible husbandry, informed decision‑making, and sustainable agribusiness practices. Nevertheless, Chickenbudget is not a veterinary practice, accounting firm, or legal advisor; our role is to provide software tools—not professional advice. You remain solely responsible for all farming, husbandry, financial, and compliance decisions undertaken in reliance on or in conjunction with the Platform.

Section 2 — Acceptance of Terms

You indicate acceptance of these Terms by:

  1. selecting an “I Agree,” “Accept,” or equivalent check‑box or button when prompted,
  2. creating a user account and clicking “Create,”
  3. executing an order form, subscription quote, or statement of work that references these Terms, or
  4. otherwise installing, accessing, or using any portion of the Service.

If you access or use the Service on behalf of a company, cooperative, trust, partnership, or governmental agency (collectively, an “Organisation”), you represent and warrant that you have authority to bind that Organisation to these Terms, in which case the phrase “you” will also refer to that Organisation. Where an Organisation has already executed a master subscription agreement or enterprise licence agreement with Chickenbudget that explicitly supersedes these Terms, that bespoke contract will prevail to the extent of any inconsistency.

You further warrant that you are at least eighteen (18) years of age, or the legal age of majority in your jurisdiction, and that you are not barred from using the Service under any applicable law. If you do not meet these requirements, you must not use the Service.

Section 3 — Changes to Terms

3.1 Process for Amendments

Technology evolves rapidly, and so must contractual frameworks. Chickenbudget may revise these Terms from time to time to reflect new features, changes in industry practice, shifts in legal requirements, or improvements in risk governance. We commit to publishing the updated version on our website and, for changes deemed “Material” in Chickenbudget’s reasonable discretion, sending notice via email or prominent in‑product banner at least thirty (30) calendar days in advance of the effective date (“Amendment Notice Period”), unless a shorter period is required to:

  • comply with a court order or statutory obligation,
  • close a security vulnerability, or
  • prevent imminent harm.

3.2 Your Options

During the Amendment Notice Period you may:

  1. accept the new Terms by continuing to use the Service,
  2. reject the new Terms by providing written notice of non‑acceptance to legal@chickenbudget.com and, if you hold a paid subscription, cancelling before the new Terms take effect, or
  3. negotiate a mutually acceptable amendment if you are an enterprise customer with custom terms.

If you elect option (ii), the prior Terms will remain in force for the remainder of your then‑current Subscription Term, after which your access will cease. If you take no action, continued use constitutes conclusive acceptance.

Section 4 — Account Registration & Security

4.1 Registration Data

To access most functionality you must create an account by submitting a valid email address, full name (or legal business name), and password, and—where applicable—billing details and farm profile information. You agree to provide accurate, current, and complete information and to update such information promptly when it changes.

4.2 Credentials & Least‑Privilege

You are responsible for safeguarding all login credentials, API keys, multi‑factor‑authentication tokens, and access‑control configurations (collectively, “Credentials”). Chickenbudget strongly recommends enabling multi‑factor authentication and role‑based access controls following the principle of least privilege. If you believe an unauthorised third party has obtained or is using your Credentials, you must immediately:

  1. change your password(s),
  2. disable any compromised API keys, and
  3. notify Chickenbudget at security@chickenbudget.com.

4.3 Liability for Account Activity

All activities carried out through your account are deemed authorised by you. Chickenbudget is not responsible for any loss or damage arising from your failure to maintain the confidentiality or integrity of your Credentials. Chickenbudget reserves the right to lock, suspend, or delete accounts that appear dormant, compromised, or in material breach of these Terms.

Section 5 — Description of Services

5.1 Free Tier

The Free Tier is intended for hobbyists, students, and early‑stage startups. Functional limitations include, but are not limited to:

  • two concurrent flock records;
  • up to 1 gigabyte of total document and photo storage;
  • manual data‑entry only (no sensor integrations);
  • generation of standard PDF reports but no custom dashboards;
  • community‑forum support with a target response time of five (5) business days; and
  • historical data retention capped at thirty‑one (31) days.

Chickenbudget may adjust or enforce usage limits to protect system stability.

5.2 Premium Tier

Paid Subscription Plans (Starter, Growth, and Enterprise) unlock functionality such as unlimited flocks and barns, unlimited historical retention, automated data ingestion from IoT devices, AI‑powered growth and cash‑flow forecasting, single sign‑on (SSO) integration, advanced user‑permissions granularity, native export to accounting packages (e.g., Xero, MYOB, QuickBooks Online), payroll processing compliant with Fair Work obligations, and dedicated telephone or live‑chat support with response targets ranging from one (1) business hour to one (1) business day depending on plan. The Premium Tier is backed by a 99.5 percent monthly‑uptime SLA; service credits apply for breach.

5.3 Beta & Pilot Modules

From time to time we may provide early‑access features—such as computer‑vision‑based weight estimation or blockchain traceability—as “Beta Modules.” Beta Modules are expressly excluded from SLA commitments, may generate erroneous outputs, and may be modified or withdrawn without notice. Your feedback on Beta Modules is invaluable and you grant Chickenbudget a royalty‑free licence to use such feedback without restriction.

Section 6 — Educational Content & Pre‑Loaded Data

6.1 Purpose of Sample Data

To accelerate onboarding and illustrate system capabilities, the Platform ships with Sample Data: vaccination protocols by breed and age, feed‑conversion benchmarks, nutrient tables, illustrative staff‑role templates (e.g., farmhand, veterinarian, feed‑mill operator), and demonstration ledger entries. Sample Data is for instructional purposes only; it is not personalised, may be outdated, and may not account for regional pathogens, feed‑ingredient availability, or statutory wage requirements.

6.2 No Professional Advice

Sample Data is not veterinary advice, nutritional advice, financial advice, or legal advice. You must consult qualified professionals—such as registered veterinarians, licensed feed formulators, and chartered accountants—before implementing any husbandry practice or business decision.

6.3 Customisation Obligation

You must review, adapt, and validate Sample Data before integrating it into live operations. For example, the suggested Marek’s disease vaccination schedule may need adjustment if regional prevalence or breeder‑supplier guidance differs. You are solely responsible for ensuring that any modifications comply with biosecurity protocols, workplace‑health‑and‑safety legislation, and animal‑welfare codes of practice.

Section 7 — Using the Service

7.1 Scope of Licence

Chickenbudget grants you a revocable, non‑exclusive, non‑transferable, non‑sublicensable licence to access and use the Service for the sole purpose of managing your own poultry‑farming or allied agribusiness activities. Any use beyond this scope—such as offering the Service as a commercial bureau service or re‑selling derived data—requires a separate written agreement.

7.2 Prohibited Use

You must not:

  1. reverse engineer, decompile, or attempt to extract source code except to the limited extent that applicable law expressly permits despite contractual prohibition;
  2. circumvent or attempt to circumvent authentication or authorisation mechanisms;
  3. probe, scan, or test the vulnerability of the Platform without prior written consent;
  4. upload or transmit malware, ransomware, or any harmful code;
  5. use automated scripts to scrape large volumes of data without permission;
  6. violate any export‑control or sanctions laws; or
  7. engage in any conduct that would expose Chickenbudget, its officers, or its affiliates to civil or criminal liability.

7.3 Service Modifications & Downtime

Chickenbudget may perform scheduled maintenance between 22:00 and 02:00 Australian Western Standard Time (AWST). We endeavour to give at least seventy‑two (72) hours’ notice via the status page. Emergency maintenance may occur without notice to remediate critical vulnerabilities or system failures. Where feasible, we will operate redundant instances to minimise disruption.

Section 8 — Billing & Payment

8.1 Currency & Tax

All fees are charged in Australian dollars (AUD) and, unless explicitly stated otherwise, exclude Goods and Services Tax (GST) as defined in the A New Tax System (Goods and Services Tax) Act 1999 (Cth). Where GST applies, we will add it to your invoice and provide a compliant tax invoice.

8.2 Subscription Term & Renewal

Each Subscription Plan commences on the date your initial payment clears (“Subscription Start Date”) and continues for the period selected (monthly or annual). Unless cancelled at least five (5) calendar days before the end of the then‑current term, the Subscription Plan renews automatically for an additional term of equal length at the prevailing list price.

8.3 Payment Methods & Authorisations

You authorise Chickenbudget and its payment processors (e.g., Stripe, Braintree) to automatically debit the payment method on file—including credit card, debit card, or direct‑debit authority—for all fees when due. You must maintain valid payment details. If a charge is declined, we will notify you and retry up to three (3) times over a seven‑day grace period. Failure to cure payment issues may result in suspension.

8.4 Adjustments & Indexation

Chickenbudget may adjust list prices annually on 1 July based on the percentage change in the Australian Consumer Price Index (CPI) All Groups, Perth, for the preceding twelve months. If the CPI is negative, no downward adjustment applies. We will provide at least thirty (30) days’ notice of any CPI‑linked adjustment.

8.5 Refunds & Credits

Except as required under Australian Consumer Law or explicitly stated in a bespoke SLA, all payments are non‑refundable. If Chickenbudget materially breaches the 99.5 percent uptime commitment, you may be eligible for service credits calculated as a percentage of monthly fees; credits are your sole remedy for SLA breaches.

Section 9 — Cancellations, Suspension & Termination

9.1 User‑Initiated Cancellation

You may cancel your Subscription Plan at any time via the Billing Portal. Cancellation prevents future renewals but does not trigger a refund for the unexpired portion of the term. Access remains until the end of the billing cycle, after which Premium features are disabled and the account reverts to Free Tier limitations.

9.2 Suspension for Cause

Chickenbudget may suspend your access immediately if:

  • payment is more than ten (10) days overdue;
  • we reasonably suspect unauthorised or fraudulent use;
  • your use poses a security or legal risk; or
  • we are required to do so by law, regulation, or court order.

We will make commercially reasonable efforts to notify you and provide an opportunity to remedy, except where prohibited by law or likely to compromise our security protocols.

9.3 Termination for Material Breach

Either party may terminate these Terms upon thirty (30) days’ written notice if the other party materially breaches and fails to cure within that period. Non‑payment beyond the grace period constitutes a material breach. Upon termination, all licences granted herein cease immediately and Chickenbudget will—subject to statutory data‑retention obligations—delete your data after sixty (60) days.

Section 10 — Accuracy of Calculations, Analytics & Statistics

10.1 Nature of Analytics

The Platform’s analytical engines extrapolate insights from data that you—directly or via sensors—supply. Accuracy depends on timely, complete, and precise inputs. Data gaps, typographical errors, sensor drift, and anomalous biological events (e.g., disease outbreaks) can materially distort results.

10.2 User Verification Duty

You must diligently review and verify all outputs—including but not limited to feed‑conversion ratios, growth curves, mortality projections, financial forecasts, and cost‑of‑production models—before relying on them for operational or financial decision‑making. Chickenbudget recommends cross‑checking against manual records, laboratory analyses, and professional advisers.

10.3 Disclaimer of Liability

To the maximum extent permitted by law, Chickenbudget disclaims any responsibility for losses or damages, including lost profits, arising from reliance on inaccurate Analytics. If your jurisdiction does not allow such exclusion, our liability is limited in accordance with Section 17 (Australian Consumer Law) and Section 19 (Limitation of Liability).

10.4 Audit Trail & Transparency

Each analytical output is tagged with a calculation‑ID that records the algorithm version, input dataset checksum, timestamp, and user ID. You may export this audit trail to facilitate independent verification or regulatory reporting.

Section 11 — Intellectual‑Property Rights

11.1 Ownership

The Service, including all software code, user‑interface elements, visual designs, compilation of data, and Chickenbudget trademarks, constitutes valuable intellectual property owned by Chickenbudget or its licensors and is protected by Australian and international copyright, trade‑mark, patent, and trade‑secret laws.

11.2 Licence Restrictions

Except for the limited licence expressly granted in Section 7, no rights are conveyed—whether by implication, estoppel, or otherwise. Without limiting the foregoing, you must not:

  1. remove or obscure proprietary notices,
  2. use Chickenbudget’s names or logos without prior written consent, or
  3. create derivative works that could cause confusion with the Service.

11.3 Third‑Party Components

The Platform incorporates open‑source libraries licensed under MIT, Apache 2.0, or similar permissive licences. A bill of materials is available on request. Nothing in these Terms limits your rights under applicable open‑source licences.

Section 12 — User Content

12.1 Definition & Ownership

“User Content” means any data, images, videos, text, spreadsheets, sensor readings, or metadata that you submit, upload, or transmit via the Platform—including flock records, feed invoices, vaccine receipts, employee rosters, and attached documents. As between you and Chickenbudget, you retain all right, title, and interest in and to your User Content.

12.2 Licence to Chickenbudget

You grant Chickenbudget and its sub‑processors a worldwide, non‑exclusive, royalty‑free licence to host, cache, store, reproduce, modify for technical formatting, display, and otherwise process User Content solely for the purpose of:

  1. providing, maintaining, and improving the Service,
  2. preventing or resolving technical issues, security incidents, or fraudulent activity, and
  3. aggregating and anonymising data to produce benchmarking reports, provided that such reports cannot reasonably identify you or your Organisation.

12.3 Representations & Warranties

You represent that:

  1. you have obtained all necessary consents, permissions, and licences to upload the User Content;
  2. the User Content does not infringe any intellectual‑property rights or privacy rights of third parties; and
  3. the User Content does not contain obscene, defamatory, or otherwise unlawful material.

12.4 Data Retention & Portability

Upon written request made within sixty (60) days after termination or expiry, and conditional upon settlement of any outstanding fees, Chickenbudget will provide you with a one‑time export of your User Content in a commonly used, machine‑readable format (e.g., CSV, JSON, or XML). Thereafter Chickenbudget may irreversibly delete or anonymise your User Content, except to the extent retention is required by law.

Section 13 — Prohibited Conduct

13.1 General Standards

To preserve the integrity, safety, and lawful nature of the Service, you must not, and must not permit any third party to:

  1. use the Platform in a manner that violates any applicable statute, regulation, ordinance, or legally binding code of practice (including, without limitation, the Australian Biosecurity Act 2015 (Cth), the Fair Work Act 2009 (Cth), and the Spam Act 2003 (Cth));
  2. post, upload, or transmit any content that is defamatory, harassing, hateful, discriminatory, violent, or otherwise inappropriate;
  3. misrepresent your identity or affiliation when interacting with other users; or
  4. engage in any activity that could reasonably be expected to harm, disable, overburden, or impair the functioning of the Service, our networks, or infrastructure suppliers.

13.2 Technical Misuse

You must not:

  1. introduce or propagate malicious code, time‑bombs, bots, or denial‑of‑service attacks;
  2. attempt to gain unauthorised access to any portion of the Platform, other user accounts, or related systems;
  3. use automated scraping, data‑mining, or similar data‑extraction tools without express written permission;
  4. bypass or remove technological measures that control access to or protect the Platform; or
  5. conduct vulnerability or penetration testing without our prior written approval pursuant to a mutually executed scope‑of‑work.

13.3 Biosecurity & Animal‑Welfare Considerations

You must not utilise the Service to facilitate or conceal practices that violate internationally recognised animal‑welfare standards—such as the World Organisation for Animal Health (WOAH) Terrestrial Code—or applicable Australian Model Codes of Practice. Chickenbudget reserves the right to suspend accounts that promote or document unlawful animal cruelty, unapproved pharmaceutical use, or deliberate biosecurity breaches.

13.4 Illegal Financial Activity

The Platform must not be used to launder money, finance terrorism, or conduct transactions with sanctioned entities. We deploy automated monitoring rules to flag suspicious transactions and comply with reporting obligations under the Anti‑Money Laundering and Counter‑Terrorism Financing Act 2006 (Cth).

Section 14 — Security & Data Privacy

14.1 Information‑Security Program

Chickenbudget maintains a documented information‑security management system (ISMS) aligned with ISO/IEC 27001:2022 and routinely assessed by independent auditors. Key controls include:

  • AES‑256 encryption at rest and TLS 1.3 encryption in transit;
  • logically segregated multi‑tenant architecture;
  • role‑based access control with mandatory multi‑factor authentication for privileged accounts;
  • quarterly vulnerability scanning and annual third‑party penetration testing; and
  • immutable system‑event and audit logging retained for at least 365 days.

14.2 Incident Response & Notification

We operate a 24 × 7 incident response capability. In the event of a “Personal Data Breach” (as defined under Article 4(12) of the EU GDPR) or an “Eligible Data Breach” under the Australian Privacy Act 1988 (Cth), Chickenbudget will provide written notice to affected customers without undue delay and, where required, lodge notifications with the Office of the Australian Information Commissioner (OAIC) and any other competent supervisory authority.

14.3 Data‑Protection Principles

Chickenbudget processes personal information in accordance with the Australian Privacy Principles (APPs) and, if applicable, the EU GDPR and United Kingdom DPA 2018. We collect the minimum data necessary to fulfil contractual obligations, store it securely, use it only for the purposes stated in our Privacy Policy, and delete or anonymise it once the lawful basis expires.

14.4 Sub‑Processors

A current list of authorised sub‑processors (e.g., AWS Asia‑Pacific (Sydney) Region, Auth0, Stripe) is available at privacy.chickenbudget.com/sub‑processors. You will receive at least thirty (30) days’ advance notice of any material changes, during which you may object on reasonable data‑protection grounds.

14.5 User Responsibilities

You must implement appropriate administrative, technical, and physical safeguards commensurate with the sensitivity of your data, including securing login credentials, configuring role‑based access, encrypting local backups, and promptly installing security patches on devices that interface with the Platform.

Section 15 — Third‑Party Services & Open‑Source Components

15.1 Integrations

The Platform provides connectors and APIs to third‑party services—such as payment gateways, bookkeeping platforms, sensor vendors, and SMS gateways—solely as a convenience. Your contractual relationship with these third parties is independent of Chickenbudget. We do not endorse, warrant, or assume responsibility for third‑party services and disclaim liability for any harm arising from their acts or omissions.

15.2 Open‑Source Software (“OSS”)

The Platform includes OSS components distributed under permissive licences (e.g., MIT, BSD, Apache 2.0) and reciprocal licences (e.g., GPLv3). Where required, Chickenbudget makes source code for modified GPL components available upon written request. The OSS components are provided on an “AS IS” basis directly by the respective copyright holders.

15.3 Updates & Compatibility

Third‑party services may update APIs or change pricing, which could affect interoperability. Chickenbudget endeavours to maintain backward compatibility but makes no guarantee that integrations will remain functional indefinitely.

Section 16 — Feedback

16.1 Voluntary Provision

You may elect to submit comments, suggestions, ideas, or enhancement requests regarding the Service (“Feedback”). Providing Feedback is voluntary and done without expectation of compensation.

16.2 Licence to Use Feedback

You grant Chickenbudget a perpetual, irrevocable, worldwide, royalty‑free, sublicensable licence to use, reproduce, modify, adapt, publish, translate, and distribute the Feedback in any medium for the purpose of improving and marketing the Service. This licence survives termination of these Terms and is non‑exclusive.

16.3 Confidentiality of Feedback

Unless otherwise agreed in writing, Chickenbudget is under no obligation to treat Feedback as confidential and may incorporate it into current or future features without attribution.

Section 17 — Disclaimers

17.1 Service Basis

Except for non‑excludable statutory warranties under the Australian Consumer Law (ACL) or other applicable legislation, the Platform is provided on an “AS IS,” “AS AVAILABLE,” and “WITH ALL FAULTS” basis. Chickenbudget expressly disclaims all implied warranties of merchantability, fitness for a particular purpose, title, quiet enjoyment, data accuracy, and non‑infringement.

17.2 No Guarantees

Without limiting Section 17.1, Chickenbudget does not guarantee that:

  • the Service will meet your specific requirements;
  • operation will be uninterrupted, timely, secure, or error‑free;
  • information obtained via the Service will be accurate or reliable; or
  • defects or errors will be corrected.

17.3 Third‑Party Content & Advice

Any guidance, recommendations, or content obtained via the Platform—including AI‑generated insights and community‑forum posts—are provided for informational purposes only and do not constitute professional advice. You should consult qualified experts before acting on such information.

Section 18 — Limitation of Liability

18.1 Aggregate Cap

Subject to Section 17 and to the maximum extent permitted by law, the aggregate liability of Chickenbudget and its affiliates arising out of or in connection with these Terms shall not exceed the total amount of subscription fees actually paid by you to Chickenbudget in the twelve (12) months preceding the event giving rise to the claim.

18.2 Exclusion of Damages

To the fullest extent permitted by law, neither party shall be liable to the other for any indirect, special, incidental, consequential, exemplary, or punitive damages, or for loss of profits, goodwill, data, or business interruption, even if advised of the possibility of such damages.

18.3 Carve‑Outs

The limitations in this Section 18 do not apply to:

  • a party’s liability for death or personal injury caused by its negligence;
  • fraud or fraudulent misrepresentation;
  • liability under the indemnities in Section 19; or
  • any other liability that cannot be excluded or limited by law.

Section 19 — Indemnification

19.1 Your Obligation

You agree to indemnify, defend, and hold harmless Chickenbudget, its directors, officers, employees, contractors, and affiliates from and against any and all third‑party claims, actions, suits, proceedings, damages, liabilities, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:

  1. your breach of these Terms;
  2. your User Content;
  3. your violation of any applicable law, regulation, or the rights of any third party; or
  4. your gross negligence or wilful misconduct.

19.2 Indemnification Procedure

Chickenbudget will promptly notify you of any indemnifiable claim and provide reasonable cooperation at your expense. You may control the defence and settlement of the claim, provided that:

  • Chickenbudget may participate with counsel of its choosing at its own expense;
  • you may not settle any claim that imposes an admission of liability or obligation on Chickenbudget without our prior written consent; and
  • failure to cooperate by Chickenbudget will excuse you of your indemnity obligations only to the extent materially prejudiced by such failure.

Section 20 — Export & Sanctions Compliance

20.1 Regulatory Framework

The Service may be subject to export‑control laws and economic‑sanctions regulations of Australia, the United States, the European Union, the United Kingdom, and other jurisdictions. You must not access, use, export, re‑export, or transfer the Service in violation of these laws.

20.2 Restricted Parties & Jurisdictions

You represent and warrant that you are not:

  • a resident of, or located in, a country or territory subject to comprehensive sanctions (e.g., Iran, North Korea);
  • named on any list of prohibited or restricted parties; or
  • otherwise the subject of sanctions.

20.3 End‑Use Restrictions

The Service must not be used for the design, development, or production of nuclear, chemical, or biological weapons or missile technology, or for any military end‑use prohibited under applicable export laws.

Section 21 — Government‑End‑User Notice

21.1 U.S. Federal Government

The Platform and associated documentation are “commercial computer software” and “commercial computer software documentation,” respectively, under FAR 2.101 and DFARS 252.227‑7014(a)(1). Consistent with FAR 12.212 and DFARS 227.7202‑3, U.S. federal‑government end users acquire the Platform with only those rights set forth herein.

21.2 Australian Government

Where the Commonwealth of Australia is an end user, the parties agree that the software is “off‑the‑shelf” commercial software and that any licence to the Commonwealth is governed by these Terms, deemed to satisfy the requirements of the Commonwealth Procurement Rules and the Defence Procurement Policy Manual.

Section 22 — Accessibility

22.1 Commitment

Chickenbudget strives to provide an inclusive user experience that conforms, at a minimum, to the Web Content Accessibility Guidelines (WCAG) 2.1 Level AA.

22.2 Assistive‑Technology Compatibility

The web‑based components of the Platform are tested against major screen readers (e.g., NVDA, JAWS) and include keyboard navigation, adjustable text sizing, and ARIA landmarks. Mobile applications support OS‑level accessibility features such as VoiceOver and TalkBack.

22.3 Feedback & Accommodation

If you encounter an accessibility barrier, please email accessibility@chickenbudget.com with a description of the issue, the assistive technology used, and any relevant screenshots. We will acknowledge enquiries within two (2) business days and aim to provide a remediation plan within ten (10) business days.

Section 23 — Governing Law & Dispute Resolution

23.1 Governing Law

These Terms and any dispute arising out of or relating to them are governed by the laws in force in Western Australia, Australia, excluding its conflict‑of‑laws principles.

23.2 Escalation Process

The aggrieved party must provide written notice (“Dispute Notice”) describing the dispute in reasonable detail. Senior management of both parties shall meet (in person or via videoconference) within ten (10) business days of the Dispute Notice to attempt resolution in good faith.

23.3 Mediation

If unresolved after twenty (20) business days, the dispute must be submitted to mediation administered by the Resolution Institute of Australia under its Mediation Rules current at the time the dispute is referred. The mediation will take place in Perth, Western Australia, unless the parties agree otherwise.

23.4 Litigation

If the dispute remains unresolved thirty (30) business days after the appointment of the mediator, either party may commence proceedings in the courts of Western Australia (and the courts of appeal therefrom), which shall have exclusive jurisdiction.

23.5 Injunctive Relief

Either party may seek urgent injunctive or equitable relief in any competent court to prevent irreparable harm.

Section 24 — Miscellaneous

24.1 Severability

If any provision of these Terms is held invalid or unenforceable, that provision will be severed and the remaining provisions will remain in full force and effect.

24.2 Assignment

You may not assign or transfer these Terms without Chickenbudget’s prior written consent. Chickenbudget may assign its rights and obligations under these Terms in connection with a merger, acquisition, corporate reorganisation, or sale of all or substantially all of its assets.

24.3 Force Majeure

Neither party shall be liable for delay or failure in performance caused by events beyond reasonable control, including acts of God, natural disasters, epidemics, strikes, riots, war, terrorism, government actions, or internet‑service‑provider failures.

24.4 Relationship of Parties

The parties are independent contractors. Nothing in these Terms creates a partnership, joint venture, fiduciary, employment, or agency relationship.

24.5 Entire Agreement

These Terms, together with any order form, SLA, and the Chickenbudget Privacy Policy, constitute the entire agreement between the parties regarding the Service, superseding any prior agreements.

24.6 Waiver

No failure or delay by either party in exercising any right under these Terms constitutes a waiver of that right.

24.7 Electronic Signatures

The parties agree that electronic signatures (including click‑wrap and e‑signature services) are legally binding and satisfy any requirement for a signature.

24.8 Interpretation

Headings are for convenience only and do not affect interpretation. “Including” means “including, without limitation.”

Section 25 — Definitions

  • Analytics — algorithmically generated calculations, projections, or statistical outputs produced by the Platform.
  • Beta Module — has the meaning assigned in Section 5.3.
  • GST — goods and services tax as defined in the A New Tax System (Goods and Services Tax) Act 1999 (Cth).
  • Personal Data Breach — has the meaning given in Article 4(12) of the GDPR.
  • Sample Data — pre‑loaded or demonstration datasets provided for instructional purposes under Section 6.1.
  • Service — the Chickenbudget software‑as‑a‑service Platform and related documentation, APIs, and mobile applications.
  • Subscription Plan — the paid Premium‑Tier plan selected by you.
  • User Content — has the definition in Section 12.1.

PLEASE READ THESE TERMS CAREFULLY. BY ACCESSING OR USING THE CHICKENBUDGET™ SOFTWARE‑AS‑A‑SERVICE PLATFORM (THE “SERVICE”), YOU (“YOU,” “YOUR,” OR “USER”) AGREE TO BE LEGALLY BOUND BY THESE TERMS OF USE (THE “TERMS”). IF YOU DO NOT ACCEPT ALL OF THE TERMS, YOU MUST NOT ACCESS OR USE THE SERVICE.

Section 1 — Overview

Chickenbudget Pty Ltd (ABN 00 000 000 000), an Australian proprietary‑limited company headquartered at 91 FarmTech Crescent, Perth, Western Australia 6000 (“Chickenbudget,” “Company,” “we,” “us,” or “our”), develops and operates an integrated poultry‑farm management platform designed to help broiler and layer producers plan, monitor, and optimise their livelihoods.

The Service combines:

  • a cloud‑hosted dashboard that aggregates operational metrics (bird numbers, mortality, feed consumption, vaccination status, water usage, environmental sensor data, and financial outflows);
  • a mobile application that enables on‑site staff to record batch events in real time;
  • open APIs for transmitting data to and from third‑party accounting, payroll, and IoT devices; and
  • machine‑learning models that generate predictive insights, including mortality risk scoring, feed‑conversion forecasting, cash‑flow projections, and capacity‑planning scenarios.

Chickenbudget makes the Service available in two commercial configurations:

  • Free Tier — offered at no monetary cost but with functional constraints intended to meet the needs of small or test‑scale farms; and
  • Premium Tier — available on a monthly or annual Subscription Plan, unlocking advanced modules such as multi‑site consolidation, automated regulatory reports, deep‑link payroll exports, granular access controls, and priority technical support encapsulated in a Service‑Level Agreement (“SLA”).

By consolidating biological, financial, and logistical data into a single source of truth, the Platform is intended to support responsible husbandry, informed decision‑making, and sustainable agribusiness practices. Nevertheless, Chickenbudget is not a veterinary practice, accounting firm, or legal advisor; our role is to provide software tools—not professional advice. You remain solely responsible for all farming, husbandry, financial, and compliance decisions undertaken in reliance on or in conjunction with the Platform.

Section 2 — Acceptance of Terms

You indicate acceptance of these Terms by:

  1. selecting an “I Agree,” “Accept,” or equivalent check‑box or button when prompted,
  2. creating a user account and clicking “Create,”
  3. executing an order form, subscription quote, or statement of work that references these Terms, or
  4. otherwise installing, accessing, or using any portion of the Service.

If you access or use the Service on behalf of a company, cooperative, trust, partnership, or governmental agency (collectively, an “Organisation”), you represent and warrant that you have authority to bind that Organisation to these Terms, in which case the phrase “you” will also refer to that Organisation. Where an Organisation has already executed a master subscription agreement or enterprise licence agreement with Chickenbudget that explicitly supersedes these Terms, that bespoke contract will prevail to the extent of any inconsistency.

You further warrant that you are at least eighteen (18) years of age, or the legal age of majority in your jurisdiction, and that you are not barred from using the Service under any applicable law. If you do not meet these requirements, you must not use the Service.

Section 3 — Changes to Terms

3.1 Process for Amendments

Technology evolves rapidly, and so must contractual frameworks. Chickenbudget may revise these Terms from time to time to reflect new features, changes in industry practice, shifts in legal requirements, or improvements in risk governance. We commit to publishing the updated version on our website and, for changes deemed “Material” in Chickenbudget’s reasonable discretion, sending notice via email or prominent in‑product banner at least thirty (30) calendar days in advance of the effective date (“Amendment Notice Period”), unless a shorter period is required to:

  • comply with a court order or statutory obligation,
  • close a security vulnerability, or
  • prevent imminent harm.

3.2 Your Options

During the Amendment Notice Period you may:

  1. accept the new Terms by continuing to use the Service,
  2. reject the new Terms by providing written notice of non‑acceptance to legal@chickenbudget.com and, if you hold a paid subscription, cancelling before the new Terms take effect, or
  3. negotiate a mutually acceptable amendment if you are an enterprise customer with custom terms.

If you elect option (ii), the prior Terms will remain in force for the remainder of your then‑current Subscription Term, after which your access will cease. If you take no action, continued use constitutes conclusive acceptance.

Section 4 — Account Registration & Security

4.1 Registration Data

To access most functionality you must create an account by submitting a valid email address, full name (or legal business name), and password, and—where applicable—billing details and farm profile information. You agree to provide accurate, current, and complete information and to update such information promptly when it changes.

4.2 Credentials & Least‑Privilege

You are responsible for safeguarding all login credentials, API keys, multi‑factor‑authentication tokens, and access‑control configurations (collectively, “Credentials”). Chickenbudget strongly recommends enabling multi‑factor authentication and role‑based access controls following the principle of least privilege. If you believe an unauthorised third party has obtained or is using your Credentials, you must immediately:

  1. change your password(s),
  2. disable any compromised API keys, and
  3. notify Chickenbudget at security@chickenbudget.com.

4.3 Liability for Account Activity

All activities carried out through your account are deemed authorised by you. Chickenbudget is not responsible for any loss or damage arising from your failure to maintain the confidentiality or integrity of your Credentials. Chickenbudget reserves the right to lock, suspend, or delete accounts that appear dormant, compromised, or in material breach of these Terms.

Section 5 — Description of Services

5.1 Free Tier

The Free Tier is intended for hobbyists, students, and early‑stage startups. Functional limitations include, but are not limited to:

  • two concurrent flock records;
  • up to 1 gigabyte of total document and photo storage;
  • manual data‑entry only (no sensor integrations);
  • generation of standard PDF reports but no custom dashboards;
  • community‑forum support with a target response time of five (5) business days; and
  • historical data retention capped at thirty‑one (31) days.

Chickenbudget may adjust or enforce usage limits to protect system stability.

5.2 Premium Tier

Paid Subscription Plans (Starter, Growth, and Enterprise) unlock functionality such as unlimited flocks and barns, unlimited historical retention, automated data ingestion from IoT devices, AI‑powered growth and cash‑flow forecasting, single sign‑on (SSO) integration, advanced user‑permissions granularity, native export to accounting packages (e.g., Xero, MYOB, QuickBooks Online), payroll processing compliant with Fair Work obligations, and dedicated telephone or live‑chat support with response targets ranging from one (1) business hour to one (1) business day depending on plan. The Premium Tier is backed by a 99.5 percent monthly‑uptime SLA; service credits apply for breach.

5.3 Beta & Pilot Modules

From time to time we may provide early‑access features—such as computer‑vision‑based weight estimation or blockchain traceability—as “Beta Modules.” Beta Modules are expressly excluded from SLA commitments, may generate erroneous outputs, and may be modified or withdrawn without notice. Your feedback on Beta Modules is invaluable and you grant Chickenbudget a royalty‑free licence to use such feedback without restriction.

Section 6 — Educational Content & Pre‑Loaded Data

6.1 Purpose of Sample Data

To accelerate onboarding and illustrate system capabilities, the Platform ships with Sample Data: vaccination protocols by breed and age, feed‑conversion benchmarks, nutrient tables, illustrative staff‑role templates (e.g., farmhand, veterinarian, feed‑mill operator), and demonstration ledger entries. Sample Data is for instructional purposes only; it is not personalised, may be outdated, and may not account for regional pathogens, feed‑ingredient availability, or statutory wage requirements.

6.2 No Professional Advice

Sample Data is not veterinary advice, nutritional advice, financial advice, or legal advice. You must consult qualified professionals—such as registered veterinarians, licensed feed formulators, and chartered accountants—before implementing any husbandry practice or business decision.

6.3 Customisation Obligation

You must review, adapt, and validate Sample Data before integrating it into live operations. For example, the suggested Marek’s disease vaccination schedule may need adjustment if regional prevalence or breeder‑supplier guidance differs. You are solely responsible for ensuring that any modifications comply with biosecurity protocols, workplace‑health‑and‑safety legislation, and animal‑welfare codes of practice.

Section 7 — Using the Service

7.1 Scope of Licence

Chickenbudget grants you a revocable, non‑exclusive, non‑transferable, non‑sublicensable licence to access and use the Service for the sole purpose of managing your own poultry‑farming or allied agribusiness activities. Any use beyond this scope—such as offering the Service as a commercial bureau service or re‑selling derived data—requires a separate written agreement.

7.2 Prohibited Use

You must not:

  1. reverse engineer, decompile, or attempt to extract source code except to the limited extent that applicable law expressly permits despite contractual prohibition;
  2. circumvent or attempt to circumvent authentication or authorisation mechanisms;
  3. probe, scan, or test the vulnerability of the Platform without prior written consent;
  4. upload or transmit malware, ransomware, or any harmful code;
  5. use automated scripts to scrape large volumes of data without permission;
  6. violate any export‑control or sanctions laws; or
  7. engage in any conduct that would expose Chickenbudget, its officers, or its affiliates to civil or criminal liability.

7.3 Service Modifications & Downtime

Chickenbudget may perform scheduled maintenance between 22:00 and 02:00 Australian Western Standard Time (AWST). We endeavour to give at least seventy‑two (72) hours’ notice via the status page. Emergency maintenance may occur without notice to remediate critical vulnerabilities or system failures. Where feasible, we will operate redundant instances to minimise disruption.

Section 8 — Billing & Payment

8.1 Currency & Tax

All fees are charged in Australian dollars (AUD) and, unless explicitly stated otherwise, exclude Goods and Services Tax (GST) as defined in the A New Tax System (Goods and Services Tax) Act 1999 (Cth). Where GST applies, we will add it to your invoice and provide a compliant tax invoice.

8.2 Subscription Term & Renewal

Each Subscription Plan commences on the date your initial payment clears (“Subscription Start Date”) and continues for the period selected (monthly or annual). Unless cancelled at least five (5) calendar days before the end of the then‑current term, the Subscription Plan renews automatically for an additional term of equal length at the prevailing list price.

8.3 Payment Methods & Authorisations

You authorise Chickenbudget and its payment processors (e.g., Stripe, Braintree) to automatically debit the payment method on file—including credit card, debit card, or direct‑debit authority—for all fees when due. You must maintain valid payment details. If a charge is declined, we will notify you and retry up to three (3) times over a seven‑day grace period. Failure to cure payment issues may result in suspension.

8.4 Adjustments & Indexation

Chickenbudget may adjust list prices annually on 1 July based on the percentage change in the Australian Consumer Price Index (CPI) All Groups, Perth, for the preceding twelve months. If the CPI is negative, no downward adjustment applies. We will provide at least thirty (30) days’ notice of any CPI‑linked adjustment.

8.5 Refunds & Credits

Except as required under Australian Consumer Law or explicitly stated in a bespoke SLA, all payments are non‑refundable. If Chickenbudget materially breaches the 99.5 percent uptime commitment, you may be eligible for service credits calculated as a percentage of monthly fees; credits are your sole remedy for SLA breaches.

Section 9 — Cancellations, Suspension & Termination

9.1 User‑Initiated Cancellation

You may cancel your Subscription Plan at any time via the Billing Portal. Cancellation prevents future renewals but does not trigger a refund for the unexpired portion of the term. Access remains until the end of the billing cycle, after which Premium features are disabled and the account reverts to Free Tier limitations.

9.2 Suspension for Cause

Chickenbudget may suspend your access immediately if:

  • payment is more than ten (10) days overdue;
  • we reasonably suspect unauthorised or fraudulent use;
  • your use poses a security or legal risk; or
  • we are required to do so by law, regulation, or court order.

We will make commercially reasonable efforts to notify you and provide an opportunity to remedy, except where prohibited by law or likely to compromise our security protocols.

9.3 Termination for Material Breach

Either party may terminate these Terms upon thirty (30) days’ written notice if the other party materially breaches and fails to cure within that period. Non‑payment beyond the grace period constitutes a material breach. Upon termination, all licences granted herein cease immediately and Chickenbudget will—subject to statutory data‑retention obligations—delete your data after sixty (60) days.

Section 10 — Accuracy of Calculations, Analytics & Statistics

10.1 Nature of Analytics

The Platform’s analytical engines extrapolate insights from data that you—directly or via sensors—supply. Accuracy depends on timely, complete, and precise inputs. Data gaps, typographical errors, sensor drift, and anomalous biological events (e.g., disease outbreaks) can materially distort results.

10.2 User Verification Duty

You must diligently review and verify all outputs—including but not limited to feed‑conversion ratios, growth curves, mortality projections, financial forecasts, and cost‑of‑production models—before relying on them for operational or financial decision‑making. Chickenbudget recommends cross‑checking against manual records, laboratory analyses, and professional advisers.

10.3 Disclaimer of Liability

To the maximum extent permitted by law, Chickenbudget disclaims any responsibility for losses or damages, including lost profits, arising from reliance on inaccurate Analytics. If your jurisdiction does not allow such exclusion, our liability is limited in accordance with Section 17 (Australian Consumer Law) and Section 19 (Limitation of Liability).

10.4 Audit Trail & Transparency

Each analytical output is tagged with a calculation‑ID that records the algorithm version, input dataset checksum, timestamp, and user ID. You may export this audit trail to facilitate independent verification or regulatory reporting.

Section 11 — Intellectual‑Property Rights

11.1 Ownership

The Service, including all software code, user‑interface elements, visual designs, compilation of data, and Chickenbudget trademarks, constitutes valuable intellectual property owned by Chickenbudget or its licensors and is protected by Australian and international copyright, trade‑mark, patent, and trade‑secret laws.

11.2 Licence Restrictions

Except for the limited licence expressly granted in Section 7, no rights are conveyed—whether by implication, estoppel, or otherwise. Without limiting the foregoing, you must not:

  1. remove or obscure proprietary notices,
  2. use Chickenbudget’s names or logos without prior written consent, or
  3. create derivative works that could cause confusion with the Service.

11.3 Third‑Party Components

The Platform incorporates open‑source libraries licensed under MIT, Apache 2.0, or similar permissive licences. A bill of materials is available on request. Nothing in these Terms limits your rights under applicable open‑source licences.

Section 12 — User Content

12.1 Definition & Ownership

“User Content” means any data, images, videos, text, spreadsheets, sensor readings, or metadata that you submit, upload, or transmit via the Platform—including flock records, feed invoices, vaccine receipts, employee rosters, and attached documents. As between you and Chickenbudget, you retain all right, title, and interest in and to your User Content.

12.2 Licence to Chickenbudget

You grant Chickenbudget and its sub‑processors a worldwide, non‑exclusive, royalty‑free licence to host, cache, store, reproduce, modify for technical formatting, display, and otherwise process User Content solely for the purpose of:

  1. providing, maintaining, and improving the Service,
  2. preventing or resolving technical issues, security incidents, or fraudulent activity, and
  3. aggregating and anonymising data to produce benchmarking reports, provided that such reports cannot reasonably identify you or your Organisation.

12.3 Representations & Warranties

You represent that:

  1. you have obtained all necessary consents, permissions, and licences to upload the User Content;
  2. the User Content does not infringe any intellectual‑property rights or privacy rights of third parties; and
  3. the User Content does not contain obscene, defamatory, or otherwise unlawful material.

12.4 Data Retention & Portability

Upon written request made within sixty (60) days after termination or expiry, and conditional upon settlement of any outstanding fees, Chickenbudget will provide you with a one‑time export of your User Content in a commonly used, machine‑readable format (e.g., CSV, JSON, or XML). Thereafter Chickenbudget may irreversibly delete or anonymise your User Content, except to the extent retention is required by law.

Section 13 — Prohibited Conduct

13.1 General Standards

To preserve the integrity, safety, and lawful nature of the Service, you must not, and must not permit any third party to:

  1. use the Platform in a manner that violates any applicable statute, regulation, ordinance, or legally binding code of practice (including, without limitation, the Australian Biosecurity Act 2015 (Cth), the Fair Work Act 2009 (Cth), and the Spam Act 2003 (Cth));
  2. post, upload, or transmit any content that is defamatory, harassing, hateful, discriminatory, violent, or otherwise inappropriate;
  3. misrepresent your identity or affiliation when interacting with other users; or
  4. engage in any activity that could reasonably be expected to harm, disable, overburden, or impair the functioning of the Service, our networks, or infrastructure suppliers.

13.2 Technical Misuse

You must not:

  1. introduce or propagate malicious code, time‑bombs, bots, or denial‑of‑service attacks;
  2. attempt to gain unauthorised access to any portion of the Platform, other user accounts, or related systems;
  3. use automated scraping, data‑mining, or similar data‑extraction tools without express written permission;
  4. bypass or remove technological measures that control access to or protect the Platform; or
  5. conduct vulnerability or penetration testing without our prior written approval pursuant to a mutually executed scope‑of‑work.

13.3 Biosecurity & Animal‑Welfare Considerations

You must not utilise the Service to facilitate or conceal practices that violate internationally recognised animal‑welfare standards—such as the World Organisation for Animal Health (WOAH) Terrestrial Code—or applicable Australian Model Codes of Practice. Chickenbudget reserves the right to suspend accounts that promote or document unlawful animal cruelty, unapproved pharmaceutical use, or deliberate biosecurity breaches.

13.4 Illegal Financial Activity

The Platform must not be used to launder money, finance terrorism, or conduct transactions with sanctioned entities. We deploy automated monitoring rules to flag suspicious transactions and comply with reporting obligations under the Anti‑Money Laundering and Counter‑Terrorism Financing Act 2006 (Cth).

Section 14 — Security & Data Privacy

14.1 Information‑Security Program

Chickenbudget maintains a documented information‑security management system (ISMS) aligned with ISO/IEC 27001:2022 and routinely assessed by independent auditors. Key controls include:

  • AES‑256 encryption at rest and TLS 1.3 encryption in transit;
  • logically segregated multi‑tenant architecture;
  • role‑based access control with mandatory multi‑factor authentication for privileged accounts;
  • quarterly vulnerability scanning and annual third‑party penetration testing; and
  • immutable system‑event and audit logging retained for at least 365 days.

14.2 Incident Response & Notification

We operate a 24 × 7 incident response capability. In the event of a “Personal Data Breach” (as defined under Article 4(12) of the EU GDPR) or an “Eligible Data Breach” under the Australian Privacy Act 1988 (Cth), Chickenbudget will provide written notice to affected customers without undue delay and, where required, lodge notifications with the Office of the Australian Information Commissioner (OAIC) and any other competent supervisory authority.

14.3 Data‑Protection Principles

Chickenbudget processes personal information in accordance with the Australian Privacy Principles (APPs) and, if applicable, the EU GDPR and United Kingdom DPA 2018. We collect the minimum data necessary to fulfil contractual obligations, store it securely, use it only for the purposes stated in our Privacy Policy, and delete or anonymise it once the lawful basis expires.

14.4 Sub‑Processors

A current list of authorised sub‑processors (e.g., AWS Asia‑Pacific (Sydney) Region, Auth0, Stripe) is available at privacy.chickenbudget.com/sub‑processors. You will receive at least thirty (30) days’ advance notice of any material changes, during which you may object on reasonable data‑protection grounds.

14.5 User Responsibilities

You must implement appropriate administrative, technical, and physical safeguards commensurate with the sensitivity of your data, including securing login credentials, configuring role‑based access, encrypting local backups, and promptly installing security patches on devices that interface with the Platform.

Section 15 — Third‑Party Services & Open‑Source Components

15.1 Integrations

The Platform provides connectors and APIs to third‑party services—such as payment gateways, bookkeeping platforms, sensor vendors, and SMS gateways—solely as a convenience. Your contractual relationship with these third parties is independent of Chickenbudget. We do not endorse, warrant, or assume responsibility for third‑party services and disclaim liability for any harm arising from their acts or omissions.

15.2 Open‑Source Software (“OSS”)

The Platform includes OSS components distributed under permissive licences (e.g., MIT, BSD, Apache 2.0) and reciprocal licences (e.g., GPLv3). Where required, Chickenbudget makes source code for modified GPL components available upon written request. The OSS components are provided on an “AS IS” basis directly by the respective copyright holders.

15.3 Updates & Compatibility

Third‑party services may update APIs or change pricing, which could affect interoperability. Chickenbudget endeavours to maintain backward compatibility but makes no guarantee that integrations will remain functional indefinitely.

Section 16 — Feedback

16.1 Voluntary Provision

You may elect to submit comments, suggestions, ideas, or enhancement requests regarding the Service (“Feedback”). Providing Feedback is voluntary and done without expectation of compensation.

16.2 Licence to Use Feedback

You grant Chickenbudget a perpetual, irrevocable, worldwide, royalty‑free, sublicensable licence to use, reproduce, modify, adapt, publish, translate, and distribute the Feedback in any medium for the purpose of improving and marketing the Service. This licence survives termination of these Terms and is non‑exclusive.

16.3 Confidentiality of Feedback

Unless otherwise agreed in writing, Chickenbudget is under no obligation to treat Feedback as confidential and may incorporate it into current or future features without attribution.

Section 17 — Disclaimers

17.1 Service Basis

Except for non‑excludable statutory warranties under the Australian Consumer Law (ACL) or other applicable legislation, the Platform is provided on an “AS IS,” “AS AVAILABLE,” and “WITH ALL FAULTS” basis. Chickenbudget expressly disclaims all implied warranties of merchantability, fitness for a particular purpose, title, quiet enjoyment, data accuracy, and non‑infringement.

17.2 No Guarantees

Without limiting Section 17.1, Chickenbudget does not guarantee that:

  • the Service will meet your specific requirements;
  • operation will be uninterrupted, timely, secure, or error‑free;
  • information obtained via the Service will be accurate or reliable; or
  • defects or errors will be corrected.

17.3 Third‑Party Content & Advice

Any guidance, recommendations, or content obtained via the Platform—including AI‑generated insights and community‑forum posts—are provided for informational purposes only and do not constitute professional advice. You should consult qualified experts before acting on such information.

Section 18 — Limitation of Liability

18.1 Aggregate Cap

Subject to Section 17 and to the maximum extent permitted by law, the aggregate liability of Chickenbudget and its affiliates arising out of or in connection with these Terms shall not exceed the total amount of subscription fees actually paid by you to Chickenbudget in the twelve (12) months preceding the event giving rise to the claim.

18.2 Exclusion of Damages

To the fullest extent permitted by law, neither party shall be liable to the other for any indirect, special, incidental, consequential, exemplary, or punitive damages, or for loss of profits, goodwill, data, or business interruption, even if advised of the possibility of such damages.

18.3 Carve‑Outs

The limitations in this Section 18 do not apply to:

  • a party’s liability for death or personal injury caused by its negligence;
  • fraud or fraudulent misrepresentation;
  • liability under the indemnities in Section 19; or
  • any other liability that cannot be excluded or limited by law.

Section 19 — Indemnification

19.1 Your Obligation

You agree to indemnify, defend, and hold harmless Chickenbudget, its directors, officers, employees, contractors, and affiliates from and against any and all third‑party claims, actions, suits, proceedings, damages, liabilities, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:

  1. your breach of these Terms;
  2. your User Content;
  3. your violation of any applicable law, regulation, or the rights of any third party; or
  4. your gross negligence or wilful misconduct.

19.2 Indemnification Procedure

Chickenbudget will promptly notify you of any indemnifiable claim and provide reasonable cooperation at your expense. You may control the defence and settlement of the claim, provided that:

  • Chickenbudget may participate with counsel of its choosing at its own expense;
  • you may not settle any claim that imposes an admission of liability or obligation on Chickenbudget without our prior written consent; and
  • failure to cooperate by Chickenbudget will excuse you of your indemnity obligations only to the extent materially prejudiced by such failure.

Section 20 — Export & Sanctions Compliance

20.1 Regulatory Framework

The Service may be subject to export‑control laws and economic‑sanctions regulations of Australia, the United States, the European Union, the United Kingdom, and other jurisdictions. You must not access, use, export, re‑export, or transfer the Service in violation of these laws.

20.2 Restricted Parties & Jurisdictions

You represent and warrant that you are not:

  • a resident of, or located in, a country or territory subject to comprehensive sanctions (e.g., Iran, North Korea);
  • named on any list of prohibited or restricted parties; or
  • otherwise the subject of sanctions.

20.3 End‑Use Restrictions

The Service must not be used for the design, development, or production of nuclear, chemical, or biological weapons or missile technology, or for any military end‑use prohibited under applicable export laws.

Section 21 — Government‑End‑User Notice

21.1 U.S. Federal Government

The Platform and associated documentation are “commercial computer software” and “commercial computer software documentation,” respectively, under FAR 2.101 and DFARS 252.227‑7014(a)(1). Consistent with FAR 12.212 and DFARS 227.7202‑3, U.S. federal‑government end users acquire the Platform with only those rights set forth herein.

21.2 Australian Government

Where the Commonwealth of Australia is an end user, the parties agree that the software is “off‑the‑shelf” commercial software and that any licence to the Commonwealth is governed by these Terms, deemed to satisfy the requirements of the Commonwealth Procurement Rules and the Defence Procurement Policy Manual.

Section 22 — Accessibility

22.1 Commitment

Chickenbudget strives to provide an inclusive user experience that conforms, at a minimum, to the Web Content Accessibility Guidelines (WCAG) 2.1 Level AA.

22.2 Assistive‑Technology Compatibility

The web‑based components of the Platform are tested against major screen readers (e.g., NVDA, JAWS) and include keyboard navigation, adjustable text sizing, and ARIA landmarks. Mobile applications support OS‑level accessibility features such as VoiceOver and TalkBack.

22.3 Feedback & Accommodation

If you encounter an accessibility barrier, please email accessibility@chickenbudget.com with a description of the issue, the assistive technology used, and any relevant screenshots. We will acknowledge enquiries within two (2) business days and aim to provide a remediation plan within ten (10) business days.

Section 23 — Governing Law & Dispute Resolution

23.1 Governing Law

These Terms and any dispute arising out of or relating to them are governed by the laws in force in Western Australia, Australia, excluding its conflict‑of‑laws principles.

23.2 Escalation Process

The aggrieved party must provide written notice (“Dispute Notice”) describing the dispute in reasonable detail. Senior management of both parties shall meet (in person or via videoconference) within ten (10) business days of the Dispute Notice to attempt resolution in good faith.

23.3 Mediation

If unresolved after twenty (20) business days, the dispute must be submitted to mediation administered by the Resolution Institute of Australia under its Mediation Rules current at the time the dispute is referred. The mediation will take place in Perth, Western Australia, unless the parties agree otherwise.

23.4 Litigation

If the dispute remains unresolved thirty (30) business days after the appointment of the mediator, either party may commence proceedings in the courts of Western Australia (and the courts of appeal therefrom), which shall have exclusive jurisdiction.

23.5 Injunctive Relief

Either party may seek urgent injunctive or equitable relief in any competent court to prevent irreparable harm.

Section 24 — Miscellaneous

24.1 Severability

If any provision of these Terms is held invalid or unenforceable, that provision will be severed and the remaining provisions will remain in full force and effect.

24.2 Assignment

You may not assign or transfer these Terms without Chickenbudget’s prior written consent. Chickenbudget may assign its rights and obligations under these Terms in connection with a merger, acquisition, corporate reorganisation, or sale of all or substantially all of its assets.

24.3 Force Majeure

Neither party shall be liable for delay or failure in performance caused by events beyond reasonable control, including acts of God, natural disasters, epidemics, strikes, riots, war, terrorism, government actions, or internet‑service‑provider failures.

24.4 Relationship of Parties

The parties are independent contractors. Nothing in these Terms creates a partnership, joint venture, fiduciary, employment, or agency relationship.

24.5 Entire Agreement

These Terms, together with any order form, SLA, and the Chickenbudget Privacy Policy, constitute the entire agreement between the parties regarding the Service, superseding any prior agreements.

24.6 Waiver

No failure or delay by either party in exercising any right under these Terms constitutes a waiver of that right.

24.7 Electronic Signatures

The parties agree that electronic signatures (including click‑wrap and e‑signature services) are legally binding and satisfy any requirement for a signature.

24.8 Interpretation

Headings are for convenience only and do not affect interpretation. “Including” means “including, without limitation.”

Section 25 — Definitions

  • Analytics — algorithmically generated calculations, projections, or statistical outputs produced by the Platform.
  • Beta Module — has the meaning assigned in Section 5.3.
  • GST — goods and services tax as defined in the A New Tax System (Goods and Services Tax) Act 1999 (Cth).
  • Personal Data Breach — has the meaning given in Article 4(12) of the GDPR.
  • Sample Data — pre‑loaded or demonstration datasets provided for instructional purposes under Section 6.1.
  • Service — the Chickenbudget software‑as‑a‑service Platform and related documentation, APIs, and mobile applications.
  • Subscription Plan — the paid Premium‑Tier plan selected by you.
  • User Content — has the definition in Section 12.1.
